Specific consulting engagements are governed by a separate Statement of Work (SoW) or Master Services Agreement (MSA), which will set out the scope, deliverables, timelines, fees and any project-specific terms. Where there is a conflict between these Terms and a signed SoW or MSA, the SoW or MSA prevails for that engagement.
We provide professional advice based on the information made available to us. The quality of any recommendation depends in part on the accuracy and completeness of that information.
Fees, payment schedules and currency will be set out in the relevant SoW. Unless agreed otherwise, invoices are payable within 14 Days of issue. Late payment may incur interest at the rate prescribed by the Late Payment of Commercial Debts (Interest) Act 1998.
Information shared during an engagement, marked or reasonably understood as confidential, will be treated as such. We will not disclose it to third parties without your consent, except where required by law. The same obligation applies to information you receive from us.
The website is provided on an "as is" and "as available" basis. While we take care to ensure content is accurate, we make no warranties regarding completeness, accuracy or fitness for any particular purpose. Use of any information on the site is at your own risk.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
To the maximum extent permitted by law, we will not be liable for any indirect, incidental or consequential losses, loss of profit, loss of business, loss of data or loss of goodwill arising out of or in connection with your use of the website or our services. Our total aggregate liability under or in connection with any consulting engagement, whether in contract, tort (including negligence), breach of statutory duty or otherwise, shall not exceed 100% of the fees paid by you for the relevant engagement during the six (6) month period preceding the event giving rise to the claim, unless otherwise agreed in writing.
Either party may terminate an engagement in accordance with the terms of the relevant SoW or MSA. We may also terminate your access to the website at any time if you breach these Terms.
These Terms are governed by the laws of England and Wales. Any dispute arising from these Terms or your use of the website is subject to the exclusive jurisdiction of the courts of England and Wales.
